Terms of Service

1. Service Provider

LocalPartner is a B2B SaaS platform operated by Wocherie OÜ (registry code: 16826825), registered at Gerassimovi 4-64, 20105 Narva, Estonia. Contact: info@localpartner.eu.

2. Description of Service

LocalPartner enables local businesses to form partnerships and offer mutual employee discounts. The platform provides:

• Business account management (registration, locations, employees)
• Partnership discovery and management
• QR code generation and scanning for discount verification
• Employee portal for accessing and using discounts
• Visit tracking and statistics

3. Account Registration

To use LocalPartner, you must register a business account. By registering, you confirm that:

• You are authorized to represent the business you are registering
• All information provided is accurate and up to date
• You are at least 18 years of age
• You will keep your login credentials secure

You are responsible for all activity under your account. Notify us immediately at info@localpartner.eu if you suspect unauthorized access.

4. Subscription and Pricing

LocalPartner offers the following subscription plans (all prices in EUR, excluding VAT):

• Base Plan: €9.90/month — includes 1 location and 1 employee
• Extra Location: €8.90/month per additional location
• Extra Employee: €1.90/month per additional employee

Wocherie OÜ is a VAT-exempt small business (käibemaksust vabastatud väikeettevõtja) under Estonian law. VAT is not charged on invoices. If applicable, customers are responsible for reverse-charge VAT in their own jurisdiction.

Free Trial

New accounts receive a 30-day free trial. During the trial, all features are available. Your subscription begins after the trial period unless cancelled before it ends.

Billing

Payments are processed by Stripe. By subscribing, you authorize recurring monthly charges to your payment method. Your subscription automatically renews each month until cancelled.

5. Cancellation and Refunds

• You can cancel your subscription at any time through the Customer Portal (accessible from your dashboard).
• Cancellation takes effect at the end of the current billing period. You retain access until then.
• No partial refunds are provided for unused portions of a billing period.
• If you cancel during the free trial, you will not be charged.

6. Partnerships

Partnerships between businesses are formed by mutual agreement on the platform. LocalPartner facilitates the connection but is not a party to the partnership agreement. Each business is responsible for honoring the discount terms they agree to.

7. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Register fake businesses or create fraudulent partnerships
• Share employee login credentials with non-employees
• Attempt to circumvent the QR code verification system
• Scrape, reverse-engineer, or interfere with the platform
• Upload malicious content or attempt to gain unauthorized access

We reserve the right to suspend or terminate accounts that violate these terms.

8. Intellectual Property

All content, design, code, and branding of LocalPartner are owned by Wocherie OÜ. You may not copy, modify, or distribute any part of the platform without written permission. Business data you enter remains your property.

9. Availability and SLA

We aim to keep LocalPartner available 24/7 but do not guarantee 100% uptime. Planned maintenance will be communicated in advance when possible. We are not liable for service interruptions caused by third-party providers (hosting, payment processing) or circumstances beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, Wocherie OÜ shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of LocalPartner. Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

11. Data Protection

We process personal data in accordance with our Privacy Policy and the General Data Protection Regulation (GDPR). By using LocalPartner, you acknowledge that you have read and understood our Privacy Policy.

12. Governing Law and Disputes

These terms are governed by the laws of the Republic of Estonia. Any disputes shall be resolved in the courts of Estonia (Harju County Court). For EU consumers, the European Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.

13. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via email or a notice on the platform at least 30 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the new terms.
